These terms govern the use of Wemba's platform. By using the platform, you agree to these terms.
1. Parties
The agreement is made between Wemba ApS, CVR 46 43 67 76, Aarhus, Denmark ("Wemba") and the organisation or company that has created an account on the platform ("Customer").
2. The Platform
Wemba provides a cloud-based SaaS platform for membership management, payment processing, and communication. Access is provided as-is and Wemba may update or change features with reasonable notice.
3. Trial Period
Wemba is free for up to 10 users. No credit card required. For larger associations, paid plans start at 29 DKK/month per user.
4. Pricing and Payment
Pricing is per active user per month as stated on wemba.dk/pricing. Invoices are issued monthly in arrears. Payment is due within 14 days of the invoice date. Wemba reserves the right to suspend access for overdue accounts.
5. Customer Responsibilities
The Customer is responsible for: (a) ensuring that use of the platform complies with applicable law, including GDPR; (b) maintaining the confidentiality of login credentials; (c) the accuracy of data entered into the platform; and (d) obtaining necessary consent from end-members whose data is processed.
6. Data Processing
Wemba processes personal data on behalf of the Customer as a data processor. A Data Processing Agreement (DPA) is available upon request and governs this processing in accordance with GDPR Article 28.
7. Confidentiality
Both parties undertake to keep confidential any non-public information received from the other party and to use it solely for the purpose of fulfilling this agreement.
8. Limitation of Liability
Wemba's total liability is limited to the fees paid by the Customer in the three months preceding the claim. Wemba is not liable for indirect losses, lost profits, or data loss. Wemba does not guarantee uninterrupted availability but targets 99.5% uptime.
9. Termination
Either party may terminate the agreement with 30 days' written notice. Upon termination, the Customer may export their data within 30 days, after which it will be deleted. Wemba may terminate immediately in case of material breach.
10. Changes to Terms
Wemba may update these terms with 30 days' notice by email or via the platform. Continued use after the notice period constitutes acceptance.
11. Governing Law and Jurisdiction
These terms are governed by Danish law. Any disputes shall be brought before the courts of Aarhus, Denmark.
